Fleet Partner Terms & Conditions
1. Introduction & Intermediary Scope
Welcome to the Caxi Fleet Platform. These Fleet Partner Terms & Conditions ("Terms") constitute a legally binding electronic agreement between Caxi ("Company", "we", "our", or "us") and fleet operators, taxi agency owners, transport enterprises, and commercial vehicle fleet aggregators ("Fleet Partner", "Fleet Owner", or "You").
Caxi acts strictly as a digital technology intermediary and aggregator under Section 79 of the Information Technology Act, 2000, and the Central Motor Vehicles Aggregator Guidelines, 2020. The Caxi Fleet Platform provides digital tools—including garage asset lockers, driver roster pairing, real-time GPS telematics, cash reconciliation ("Hisab") ledgers, and B2B Connect dispatch integration—to facilitate commercial transport operations. Caxi does not directly own transport vehicles or employ drivers.
2. Fleet Entity Eligibility & Onboarding (KYB)
To register and maintain an active account on the Caxi Fleet Platform, You must be legally competent to enter into binding commercial contracts under the Indian Contract Act, 1872. Fleet accounts may be established by:
- Sole Proprietorships: Operating under an individual PAN and enterprise Trade License / Udyam Certificate.
- Partnerships & LLPs: Registered with a formal Partnership Deed and firm PAN.
- Private Limited Companies & Corporations: Duly incorporated under the Companies Act, 2013, with active GSTIN registration.
- Individual Multi-Vehicle Owners: Commercial vehicle owners operating two or more commercial transport vehicles.
You warrant that all information submitted during registration—including Permanent Account Number (PAN), Goods & Services Tax Identification Number (GSTIN), business bank accounts, registered office address, and authorized signatory identity—is authentic, current, and verifiable. Any submission of forged, expired, or fraudulent documentation will result in immediate termination, blacklisting, and reporting to relevant statutory authorities.
3. Vehicle Compliance & Digital Asset Locker
Every vehicle registered within your Caxi Fleet garage must strictly adhere to the standards mandated by the Motor Vehicles Act, 1988, and state transport regulations in Jharkhand and applicable operating corridors:
- Commercial Registration (Yellow Plate): Only vehicles officially registered as commercial transport vehicles (Contract Carriage, All-India Tourist Permit, or State Tourist Cab) are eligible. Private (white-plate) vehicles are strictly prohibited from fleet onboarding.
- Mandatory Digital Locker Documents: Fleet Partners must maintain valid and unexpired digital copies of the following five statutory certificates in their Caxi Garage Locker at all times:
- Vehicle Registration Certificate (RC) reflecting commercial taxi classification.
- Commercial Transport Permit (All-India Tourist Permit or State Contract Carriage Permit).
- Certificate of Fitness issued by the competent Regional Transport Office (RTO).
- Comprehensive Commercial Taxi Insurance policy with valid third-party and passenger liability coverage.
- Pollution Under Control (PUC) Certificate issued by an authorized testing center.
- Automated Expiry Radar & Vehicle Grounding: The Caxi Fleet system automatically monitors document expiry dates. If a vehicle's Fitness, Insurance, or Permit lapses without verified renewal, the vehicle is automatically grounded and removed from live dispatch to guarantee public safety and regulatory compliance.
4. Driver Roster Management & Operator Oversight
The Caxi Fleet Platform allows Fleet Partners to recruit, invite, assign, and manage drivers ("Fleet Drivers") to their fleet vehicles:
- Driver Qualifications: You must verify that every driver assigned to your fleet vehicles holds a valid commercial driving license (LMV-Transport / Commercial Driver Badge) and is legally authorized to operate passenger commercial vehicles.
- Operator Responsibility: Fleet Partners exercise supervisory control over their fleet drivers. You are responsible for ensuring that drivers assigned to your vehicles adhere to professional driving conduct, zero alcohol/substance tolerance, customer courtesy, and safe driving protocols.
- Driver Allocation & Canonical Bridge: Assigning a fleet vehicle to a driver automatically pairs the vehicle specifications and documents with Caxi's dispatch engine. Fleet Partners must revoke driver assignments immediately upon termination of the driver's shift or employment.
- Independent Employment Status: Fleet Drivers are either employees or independent contractors of the Fleet Partner. Caxi is not an employer, co-employer, or labor contractor for Fleet Drivers. The Fleet Partner is solely responsible for compliance with applicable labor laws, minimum wage regulations, motor accident claims, and statutory compensations.
5. Commission Structure & Bank Settlements
In strict compliance with Section 13(1) of the Central Motor Vehicles Aggregator Guidelines, 2020, platform commissions charged by Caxi are strictly capped at a maximum of 20% of the pre-tax fare on every trip, guaranteeing that at least 80% of net trip earnings remain within the operating partner ecosystem.
- Centralized Fleet Wallet: Digital earnings—including online card payments, UPI transactions, corporate billing deductions, and app wallet bookings—generated by all vehicles across your fleet are credited centrally into your Fleet Wallet balance.
- Direct Bank Payouts: Accumulated digital earnings can be withdrawn directly to your verified business bank account via automated payment cycles or instant settlement (IMPS / NEFT / UPI) through Caxi's authorized banking channels (Razorpay Payouts).
- TDS Compliance: Platform payouts are subject to Tax Deducted at Source (TDS) under applicable provisions of the Income Tax Act, 1961 (e.g., Section 194O / 194C), where statutory thresholds are met.
6. Cash Reconciliation ("Hisab Engine") & Settlements
Many passenger trips in India involve physical cash collected directly by the driver at drop-off. Caxi provides an automated reconciliation ledger ("Hisab Engine") to protect your business finances:
- Cash Trip Commission Deduction: When a driver completes a cash ride and collects physical currency, Caxi's platform commission is debited from your centralized Fleet Wallet balance.
- Cash Remittance Tracking: The driver app displays a dedicated Remittance Due balance informing the driver of the exact cash amount that must be deposited with the Fleet Partner during shift handover.
- Compensation Models: Fleet Partners may configure driver compensation models (Daily Rent, Percentage Revenue Share, or Fixed Salary). The Caxi Hisab Engine generates detailed settlement statements reflecting gross fares, commissions, cash collected, and net payable/receivable balances.
- Internal Settlement Disclaimer: Caxi facilitates digital ledger bookkeeping but is not responsible for physical cash recovery, unremitted collections, or financial disputes between Fleet Owners and their drivers.
7. Real-Time Telematics, GPS Radar & Geofencing
By connecting vehicles to the Caxi Fleet Platform, Fleet Partners agree to the collection and transmission of live telemetry:
- Dual-Frequency Radar: High-frequency telemetry (coordinates, heading, speed) is broadcast via secure real-time databases while vehicles are on duty, accompanied by 15-second trip breadcrumbs for dispute resolution and distance auditing.
- Fleet Asset Security: Fleet Partners are granted live radar access solely for route optimization, driver safety, vehicle dispatch, and asset protection.
- Geofencing & Boundary Alerts: Fleet vehicles designated for intra-city operations are monitored against municipal borders. Any intercity departures without an active Outstation dispatch may trigger automated security alerts.
- Privacy Safeguards: Fleet Partners agree not to use telemetry data for unauthorized commercial resale or intrusive surveillance outside of on-duty operational windows.
8. Caxi Connect B2B Marketplace Integration
The Caxi Fleet Platform integrates directly with the Caxi Connect B2B marketplace, enabling Fleet Partners to secure high-value Outstation and Shared Cab bookings:
- Dispatch Policies: Fleet Partners can set their preferred operational policy:
FLEET_MANAGED: Drivers cannot bid on Connect; only the fleet manager dispatches trips.DRIVER_FREEDOM: Drivers may independently browse and accept Connect dispatches.APPROVAL_REQUIRED: Drivers submit offers, but the fleet manager must review and confirm before dispatch.
- Fulfillment Guarantee: Accepting a scheduled Connect dispatch creates a binding operational commitment. Unilateral cancellation without valid emergency justification disrupts passenger travel and results in vehicle-tier cancellation penalties.
9. Vehicle Maintenance, Roadworthiness & Inspections
Fleet Partners must guarantee that every vehicle in service remains mechanically sound, clean, and roadworthy:
- Working functional seatbelts for all passengers, operational air conditioning/heating, clean interiors, and functional headlights/tail lights.
- Functional child locks and SOS emergency features as required under Central Motor Vehicles Rules.
- Caxi reserves the right to conduct unannounced virtual or physical audits. Vehicles failing cleanliness or safety standards will be immediately removed from active dispatch.
10. Prohibition of Contraband & Illicit Transport
Fleet Partners and their drivers are strictly prohibited from knowingly utilizing fleet vehicles to transport illegal drugs, unauthorized weapons, contraband, smuggled goods, or unpermitted commercial cargo. Any involvement in criminal activity will lead to immediate, irreversible platform deactivation, forfeiture of remaining wallet credits, and full cooperation with Jharkhand Police and central investigative authorities.
11. Indemnification & Limitation of Liability
The Fleet Partner agrees to indemnify, defend, and hold harmless Caxi, its founders, officers, and employees from any claims, fines, liabilities, damages, or legal costs arising from:
- Traffic accidents, personal injuries, or property damage caused by fleet vehicles or drivers.
- Traffic fines (e-challans), permit violations, or RTO vehicle impoundment.
- Disputes regarding driver compensation, employment benefits, or labor compliance.
- Breach of these Terms or applicable state and central transport regulations.
Under no circumstances shall Caxi's aggregate liability exceed the total platform commissions received from the specific trip or transaction giving rise to the claim.
12. Account Suspension & Termination
Either party may terminate this agreement by providing thirty (30) days' written notice. Caxi reserves the right to immediately suspend or terminate fleet access without prior notice in cases of document falsification, safety violations, negative wallet balances exceeding platform credit limits, or fraudulent trip inflation.
13. Governing Law & Dispute Resolution
These Terms shall be governed by and interpreted in accordance with the laws of India. Any controversy, dispute, or claim arising out of or relating to these Terms shall be settled by binding arbitration in accordance with the Arbitration and Conciliation Act, 1996. The place of arbitration shall be Bokaro Steel City, Jharkhand, and the courts in Bokaro / Jharkhand shall have exclusive jurisdiction.
