1. Introduction & Master Services Agreement

These Corporate Terms of Service ("Corporate Terms" or "Agreement") govern the access and use of Caxi's enterprise travel management platform ("Caxi for Business" or "Corporate Services") by registered businesses, corporations, partnerships, non-profit institutions, and government bodies ("Corporate Customer", "Company", or "You").

By creating a Caxi Corporate Account, submitting business verification details, or authorizing employees to charge rides to your enterprise balance, You agree to be legally bound by this Agreement. Caxi acts as a digital technology intermediary under Section 79 of the Information Technology Act, 2000, facilitating ground transportation services fulfilled by independent licensed driver partners and certified fleet operators.

2. Corporate Account Setup & Admin Authority

To activate a Corporate Account, the Company must provide valid corporate credentials:

  • Entity Verification: Legal entity name, registered office address, Certificate of Incorporation / Udyam MSME Registration, and valid Goods & Services Tax Identification Number (GSTIN).
  • Corporate Administrator: The individual registering the account warrants that they possess actual authority to contractually bind the Company. The designated Administrator has authority to add/remove authorized employees, set spending caps, review travel manifests, and download tax invoices.
  • Security & Credentials: The Company is responsible for maintaining the confidentiality of administrative credentials and for all ride activities authorized under its account.

3. Billing Structures & Credit Facilities

Caxi for Business offers two enterprise billing structures designed for fiscal clarity and expenditure control:

  • Prepaid Corporate Wallet:

    The Company deposits funds into its centralized corporate balance via digital payment gateway (UPI, NetBanking, Corporate Credit Card) or direct RTGS/NEFT bank transfer. As authorized employees complete rides, trip fares are deducted in real-time. Unutilized prepaid balances remain held in trust and never expire.

  • Postpaid Credit Facility (Net-30 Terms):

    Eligible enterprises may qualify for a postpaid corporate credit line subject to financial review and credit appraisal by Caxi Admin. On the 1st of every calendar month, Caxi issues a consolidated monthly statement of accounts. The Company agrees to settle the statement in full within thirty (30) days from invoice receipt (Net-30 terms). Unpaid balances past due are subject to late interest of 1.5% per month and temporary suspension of corporate booking privileges.

4. 5% GST Invoicing & Input Tax Credit (ITC) Compliance

Corporate transportation through Caxi is engineered for 100% statutory tax compliance:

  • Tax Invoicing: Caxi generates compliant B2B tax invoices reflecting the Company's registered name, address, and GSTIN, with passenger transportation GST charged at the statutory rate of 5% (without input tax credit on fuel, in accordance with applicable GST notifications).
  • Monthly Consolidated Invoicing: Invoices are consolidated monthly, providing full itemization of passenger names, employee IDs, pickup/drop coordinates, date/time, and toll charges.
  • GSTR-2B Match: Caxi files periodic GSTR-1 returns, ensuring seamless Input Tax Credit (ITC) reflection in the Company's GSTR-2B portal. Invoices can be exported directly in Excel/CSV formats compatible with SAP, Tally, and Zoho Books.

5. Employee Authorization & Expense Controls

Companies exercise full granular control over their corporate travel budget:

  • Authorized Employee Roster: Only employees linked to the corporate roster via verified corporate mobile number or work email domain can bill trips to the company account.
  • Granular Spending Caps: The Administrator may set daily, weekly, or monthly expense caps per employee, department, or cost center. The platform automatically blocks rides that exceed the designated allowance.
  • Operating Hours & Corridor Policies: The Company may enforce policy rules (e.g., weekday-only rides, airport transfer corridors, or emergency shift allowances).
  • Official Business Purpose: The Company ensures that employees utilize the Corporate Account strictly for authorized business travel. Caxi is not liable for internal policy breaches committed by the Company's authorized users.

6. Booking Integrity & Active Trip Security

Corporate safety is anchored on cryptographic verification:

  • Secure OTP Authentication: Every corporate trip requires the rider to furnish a 4-digit One-Time Password (OTP) to the driver before trip commencement.
  • Active Ride Lock: Once OTP verification succeeds, manual trip cancellation is disabled to protect employee safety and prevent driver billing disputes.
  • Zero-Distance Protection: In the event a trip is initiated and immediately ended (< 200m traveled), the fare is automatically adjusted to ₹0.00, protecting corporate funds from erroneous or fraudulent dispatches.

7. Cancellation & Wait Time Policy

Corporate rides are subject to Caxi's standard statutory cancellation policy:

  • Passenger cancellations before driver assignment are always 100% free.
  • Cancellations after driver assignment are subject to statutory caps (the lower of 10% of estimated fare and ₹100).
  • Free waiting grace periods apply at pickup points (5 minutes for city rides; extended grace for airport pickups). Excess waiting after the grace period is billed at the standard vehicle rate card.

8. Confidentiality & Travel Telematics Privacy

Caxi treats all enterprise travel data—including employee manifests, meeting locations, itinerary frequencies, and executive transit routes—as strictly confidential proprietary information:

  • Corporate travel patterns are encrypted and never monetized, rented, or shared with third-party advertising brokers.
  • Access to corporate booking archives is restricted solely to the Company's designated administrators and authorized Caxi support personnel for dispute resolution.
  • Caxi complies with applicable digital data protection legislation regarding the storage and archival of corporate employee data.

9. Limitation of Liability & Disclaimers

Caxi operates as a digital technology aggregator connecting corporate travelers with vetted transportation partners:

  • Caxi does not own vehicles or operate direct transport services. While Caxi enforces strict partner onboarding criteria (document audits, commercial permits, vehicle fitness checks), Caxi is not liable for delayed arrivals caused by traffic congestion, weather, force majeure, or third-party acts.
  • In no event shall Caxi's aggregate liability under this Agreement exceed the total booking fees paid by the Corporate Customer in the thirty (30) days preceding the incident.
  • Neither party shall be liable for indirect, punitive, or consequential damages.

10. Term & Termination

This Agreement remains active until terminated by either party upon thirty (30) days' written notice. Upon termination:

  • Any remaining prepaid wallet balances will be refunded to the Company's source corporate bank account within fourteen (14) business days, subject to final billing adjustments.
  • Any outstanding postpaid invoices become immediately due and payable.

11. Governing Law & Dispute Resolution

This Agreement is governed by the laws of India. Any controversy or dispute arising out of this Agreement shall be resolved through good-faith negotiation, failing which it shall be referred to binding arbitration under the Arbitration and Conciliation Act, 1996. The seat of arbitration shall be Bokaro Steel City, Jharkhand, and the competent courts in Bokaro / Jharkhand shall have exclusive jurisdiction.
